Board Independence

All board members, other than the CEO and one outside director, are independent directors. The board has adopted categorical independence standards modeled after New York Stock Exchange rules. An affirmative determination of the independence of each director or nominee is made in accordance with those standards. The annual proxy circular discloses the basis for such determination.
