SASKATOON, CNW – Potash Corporation of Saskatchewan Inc. announced today that it has signed a letter of intent to purchase all the outstanding shares of Potash Company of Canada Limited ("Potacan") from Kali und Salz Beteiligungs AG of Germany and Entreprise Minière et Chimique of France. The parties will work toward completion of a definitive Purchase and Sale Agreement, expected sometime in early 1998.

SASKATOON, CNW – Potash Corporation of Saskatchewan Inc. today reported record third quarter net income of $71.4 million, up 53 percent over the $46.8 million earned in the same period last year. Net sales revenue of $573.8 million was up 68 percent, operating income of $108.9 million was up 64 percent and net income per share of $1.33 was up 29 percent. The increased earnings were attributable to the accretive nitrogen acquisition completed in the first quarter of 1997, higher average phosphate prices and the strength of the potash business. Potash sales volumes were the highest in any third quarter in PCS history.

SASKATOON, CNW – Potash Corporation of Saskatchewan Inc. today reported record second quarter net income of US $97.0 million up 85 percent over the $52.4 million earned in the same period last year. Net sales revenue of $676.6 million was up 92 percent, operating income of $154.7 million was up 108 percent and earnings per share of $1.81 was up 57 percent. The increased earnings were attributable to the addition of PCS Nitrogen for the full quarter along with higher potash and phosphate sales volumes, which were favourably affected by a strong North American spring season, one of the best ever.

("PCS") announced today that, in connection with the proposed acquisition by PCS of 51 percent of the outstanding shares of Kali und Salz Beteiligungs AG from a subsidiary of BASF AG, it has been advised that the German Minister of Economics has denied approval for the transaction to proceed.

The offering is pursuant to a shelf registration statement filed in the United States covering US $1 billion of debt securities.
