Pursuant to subsection 89(14) of the Canadian Income Tax Act, all dividends paid by Potash Corporation of Saskatchewan Inc. are designated as eligible dividends. An eligible dividend paid to a Canadian resident is entitled to the enhanced dividend tax credit.

Dividends paid to residents in countries with which Canada has bilateral tax treaties are generally subject to the 15-percent Canadian non-resident withholding tax which is submitted to the Canada Revenue Agency (CRA).

Shareholders in the United States who have not filed a W-9 are also subject to the back-up withholding tax (currently 28%) which is submitted to the Internal Revenue Service (IRS).

There is no Canadian tax on gains from the sale of shares (assuming ownership of less than 25 percent) or debt instruments of the company owned by non-residents not carrying on business in Canada.

No government in Canada levies estate taxes or succession duties.
