PotashCorp values and encourages open communication. Complaints, concerns and questions are taken seriously and handled promptly and professionally. Communication may take place at any level within the organization, including direct reporting to our Board of Directors, Audit Committee, or Compliance Committee. Local matters are usually best handled through communication with local supervision or HR. A telephone hotline is available to employees and vendors when local communication is ineffective or anonymity is important.

Matters addressed to the Board relating to the Corporation's financial statement disclosures, accounting, internal accounting controls, or auditing will be referred to the Audit Committee. Other matters will be referred to the Board Chair or others as appropriate. Submissions labeled "To be opened by the Audit Committee only" will be sent directly to the Audit Committee Chair.
If an individual would like to discuss a matter with the Board or Audit Committee, they should indicate this in the submission and include a telephone number at which they may be contacted if the Board or Committee deems it appropriate.
To further facilitate communications between the Corporation's security holders and the Board, the Corporation has adopted a policy that all Directors standing for re-election and all new Director nominees are expected to attend the annual meeting of shareholders, where they are available for in-person communications.

PotashCorp's Compliance Committee consists of the Sr. VP, Administration, Sr. VP, General Counsel, and VP, Internal Audit. The Committee manages PotashCorp's compliance program and regularly investigates complaints and concerns.
